Indiana – Business Entity Laws – Laws Amended

S.B. 180, Laws of 2018, effective retroactively to January 1, 2018, amended provisions of the Uniform Business Organizations Code regarding definitions, corrections, biennial reports, names, registered agents, foreign registration and revocation, and reinstatement and provisions of the Uniform Business Organizations Transactions Act regarding mergers, conversions and domestications.

New Jersey – Corporations – Law Amended

A.B. 2162, Laws of 2018, effective January 16, 2018, amended the Business Corporation Act regarding contents of bylaws with authorization for the inclusion of forum-selection clauses for certain types of actions.

New Jersey – Corporations – Law Amended

A.B. 2970, Laws of 2018, effective January 16, 2018, amended the Business Corporation Act regarding derivative proceedings and shareholder class actions.
