Federal – Mergers – HSR Act Thresholds Revised
The Federal Trade Commission has revised the Hart-Scott-Rodino Act thresholds, pursuant to which business entities entering into certain mergers must make a pre-merger notification filing with the Federal Trade Commission and Department of Justice. The new thresholds apply to transactions closing on or after February 28, 2018.
New Jersey – Corporations – Law Amended
Assembly Bill 2971, Laws of 2018, effective January 16, 2018, amended the Business Corporation Act by authorizing director consent to actions without a meeting by electronic transmission.
New York – Corporations – Law Amended
Assembly Bill 8261, Laws of 2018, effective January 1, 2018, amended the Business Corporation Law and Not-for-Profit Corporation Law by requiring condominium and cooperative housing corporation annual disclosure to shareholders and members of corporate contracts involving conflicted directors.
